1. Definitions
- "Account" – The profile you create to access the Platform.
- "Beta Features" – Pre-release services identified as beta, trial, or preview.
- "Confidential Information" – Any non-public technical, business, financial, or other proprietary
information disclosed by one party to the other, including but not limited to operational data, business processes, customer lists, and strategic plans.
- "Content" – All data, text, media, and materials uploaded to or generated by the Platform.
- "Platform" – The RTN SMART technology platform, websites, APIs, mobile apps, and related services.
- "Prevailing Party" – The party that obtains substantially the relief sought in arbitration, litigation, or settlement.
"RMA (Return Merchandise Authorization)"
– The reference number we issue to authorize the return of
hardware under warranty.
"Services"
– All hardware products, software, subscriptions, and professional
services we offer.
"User" / "you"
– Any individual or entity that accesses or uses the Services.
2. Introduction and Acceptance
These Terms and Conditions ("Terms") form a binding agreement between you and RTN Robo ("Company," "we," "us," or "our"). By (i) clicking an "I Agree" (or similar) button, (ii) registering an Account, (iii) purchasing a product or subscription, or (iv) continuing to use any Services, you record your acceptance of these Terms.
Your acceptance is also recorded upon continued use of our Services after the effective date of any revised Terms following notice of changes. These Terms apply equally to website visitors, trial users, subscribers, and purchasers of hardware, software, or professional services.
3. User Eligibility
3.1 Age and Capacity
You must be at least 18 years old and legally able to enter into contracts. If under 18, parental or guardian consent is required.
3.2 Business Verification & Corporate Authority
Business customers may undergo Know-Your-Customer (KYC), anti-money-laundering (AML), and export-control screening. If you register or use the Platform on behalf of a company, you represent that you are authorized to bind that entity to these Terms.
3.3 Geographic Restrictions
Access is prohibited from jurisdictions on U.S. OFAC sanction lists or other embargoed countries. We may suspend or terminate Services where required by law.
3.4 Risk-Based Access Control
RTN Robo reserves the right to restrict access to users based on internal risk profiling, prior violations, or security assessments to protect the integrity of our Platform and other users.
4. Account Creation and Management
4.1 Information Requirements
Provide accurate, current information; updates are processed under our Privacy Policy.
4.2 Password Security
You are solely responsible for maintaining confidentiality of your credentials and for all activity under your Account. This includes implementing appropriate security measures and promptly notifying us of any unauthorized access.
4.3 Consequences of False Information
False, misleading, or outdated information may lead to suspension, termination, forfeiture of fees, and legal action.
4.4 Account Monitoring and Audit Rights
We monitor Accounts for compliance and may suspend or terminate without prior notice. For B2B customers, we reserve the right to audit usage to ensure subscriptions are not misused or shared across multiple entities without proper licensing.
5. Acceptable Use Policy
5.1 Prohibited Activities
You may not:
- Use our Services for illegal, harmful, or fraudulent activities
- Attempt unauthorized access to our systems or data
- Reverse engineer or tamper with hardware/software
- Engage in RTN branding misuse, including social media impersonation, unauthorized use of our trademarks, or misrepresentation of our products in marketing materials
5.2 Enforcement
Violations may result in account termination, damages claims, legal action without refund, and immediate cessation of Services.
6. Intellectual Property Rights
6.1 Our Property
All RTN Robo software, hardware designs, trademarks, and documentation remain our exclusive property.
6.2 User-Generated Content
You retain ownership of Content you upload but grant us a worldwide, royalty-free license to host, display, and process it as needed to deliver the Services; this license ends when Content is removed or the Account is closed.
6.3 AI Training Data
You agree that anonymized usage data may be used for improving AI-related functionality in compliance with our Privacy Policy. Individual user data is never used for training purposes without explicit consent.
6.4 DMCA Notices
To report alleged copyright infringement, email dmca@rtnrobo.com with supporting documentation.
7. Payment Terms and Billing
7.1 Pricing Structure
All pricing is stated in USD and excludes applicable taxes unless otherwise specified. For international customers, local taxes may apply at checkout.
7.2 Subscription Management
- Basic Plan: $49.99/month
- Premium Plan: $99.99/month
Cancel via dashboard or email support@rtnrobo.com at least 5 business days before the next billing date. Subscriptions auto-renew for identical periods unless canceled.
7.3 Payment Processing and Invoicing
If a payment fails, we may retry the default payment method up to three times within five days. After retries fail, the Account may be suspended. Invoices and receipts are automatically generated and sent to your registered email address upon successful payment processing.
7.4 Refunds
- Software: Full refund if canceled within 14 days of first purchase
- Hardware: 30-day return for unopened, unused items
- Services: Refund pro-rated based on work completed
7.5 Taxes and Fees
You are responsible for all applicable taxes and any late fee of 1.5% per month (or the maximum lawful rate).
8. Warranty and Disclaimers
8.1 Coverage
- Hardware: 1-year standard (extendable to 3 years)
- Software: 90 days functionality warranty
- Professional Services: 30 days workmanship warranty
8.2 Claim Process
Submit warranty claims within the coverage period by emailing warranty@rtnrobo.com with product serial number, proof of purchase, and issue description. You may be required to ship defective hardware to an authorized facility at your expense.
8.3 Exclusions & "As Is"
Except as stated, all Services are provided "as is," with no implied warranties of merchantability, fitness, or non-infringement.
9. Limitation of Liability
RTN Robo is not liable for indirect, incidental, consequential, or punitive damages. Maximum aggregate liability under these Terms is limited to amounts you paid us in the twelve months preceding the claim. We are not responsible for failures of third-party platforms, integrations, or payment processors.
10. Termination
10.1 User Termination
You may terminate at any time by written notice; outstanding fees remain payable and leased equipment must be returned.
10.2 Company Termination
We may terminate for breach, non-payment, or legal necessity.
10.3 Inactive Accounts
Accounts with no login activity for 12 consecutive months may be deactivated after reasonable notice.
10.4 Data Retention and Final Closure
We may retain data for up to 7 years for audit/compliance; personal data is deleted within 30 days unless law requires longer retention. Upon termination, we will issue a final invoice or closure confirmation detailing any outstanding obligations. For leased equipment, return shipping costs are the responsibility of the customer unless otherwise specified in the lease agreement.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Georgia, USA. Exclusive jurisdiction lies with state or federal courts in Georgia.
12. Dispute Resolution
12.1 Negotiation → Mediation → Arbitration
Parties first attempt good-faith negotiation (30 days), then mediation in Georgia, then binding arbitration under AAA Commercial Rules conducted in Atlanta, Georgia.
12.2 Exclusions
IP infringement, injunctive relief, and small-claims matters (≤ $10,000) may proceed in court.
12.3 Costs & Prevailing Party
Arbitration fees are split equally; each party bears its own legal fees unless the Prevailing Party is entitled to recover reasonable costs under applicable law or contract.
13. Additional Provisions
13.1 Confidentiality and B2B Data Protection
For B2B customers sharing operational data, both parties agree to maintain strict confidentiality of all Confidential Information disclosed during the business relationship. This includes customer lists, operational procedures, performance metrics, and strategic business information. Confidential Information shall not be disclosed to third parties without written consent and shall be protected using industry-standard security measures.
13.2 Indemnification
You will indemnify, defend, and hold harmless RTN Robo from any third-party claims arising from your misuse of Services, breach of Terms, violation of law, or infringement of rights.
13.3 Beta Features and Trials
Beta Services are offered "as is," may be altered or discontinued at any time, and are excluded from warranties.
13.4 Assignment
You may not assign these Terms without our prior written consent. We may assign freely in connection with merger, acquisition, or corporate restructuring.
13.5 Updates to Terms
We may revise these Terms with 30 days' notice via email or platform notice. Continued use after the effective date constitutes acceptance of revisions.
